Undertone Quality Guarantee

The Undertone Quality Guarantee^SM provides assurance that Undertone Networks ("Undertone") will place your advertisements only with Undertone Qualified Publishers^SM that satisfy rigorous selection criteria that take both quantitative and qualitative factors into account. Such Publishers have direct relationships with Undertone and have content that is professionally produced. Undertone specifically excludes sites that are based primarily upon social networking, are the result of user-generated content, are sourced from advertising exchanges, or are provided through third-party advertising networks. If an Advertiser demonstrates that its advertisements from an insertion order with Undertone appear on inappropriate sites that are not Undertone Qualified Publishers, then Undertone will provide a credit to Advertiser or return the full amount that the Advertiser has paid to Undertone under that insertion order, up to a maximum of $50,000. This guarantee will not be applicable to Advertisers that contract with Undertone for media buying from Publishers which are not Undertone Qualified Publishers. This guarantee applies only when the guarantee is expressly referenced in an insertion order signed by Undertone to purchase inventory only from Undertone Qualified Publishers.

A Note about Social Networking and User-Generated Content
Many premier publishers, including television broadcaster, newspaper and healthcare sites, have started to incorporate user-generated content and social networking functionality into their Web sites. Additionally, many of these Web sites have (and will continue to) incorporate blogs into their sites in order to rapidly publish breaking stories or encourage user comments. These Publishers will continue to qualify as Undertone Qualified Publishers because they are not based primarily upon user generated content and are not focused on social networking. While Undertone does not expect to get a claim against this Guarantee, we want to be clear that the provision of a credit or the return of amounts paid under the applicable insertion order up to the maximum of $50,000 are the sole and exclusive remedies for any breach of the Undertone Quality Guarantee.
